DANFALK DESIGNS LLC

Photography Services Agreement, Copyright Notice & Model Release

By booking photography services with DanFalk Designs LLC (“Photographer”), the Client and/or Parent/Legal Guardian (if participant is a minor) agrees to the following terms:

1. Ownership & Copyright

All photographs, digital files, videos, and derivative works created by DanFalk Designs LLC are the sole and exclusive intellectual property of DanFalk Designs LLC and are protected under United States copyright law.

DanFalk Designs LLC retains full and exclusive copyright ownership of all images captured, regardless of purchase status.

No transfer of copyright is granted or implied under this agreement.

2. License & Print Rights to Client

Upon purchase, the Client is granted a limited, non-exclusive, non-transferable personal-use license to:

• Download purchased images

• Share purchased images on personal social media platforms

• Print purchased images for personal use

• Create personal keepsakes (albums, prints, canvases, etc.)

The following restrictions apply:

• Images may not be altered beyond standard cropping or minor exposure adjustments.

• Watermarks may not be removed.

• Images may not be sold, licensed, entered into contests, used for advertising, or used for any commercial purpose without prior written consent from DanFalk Designs LLC.

• The license may not be transferred to sponsors, brands, media outlets, or third parties.

This license does not constitute copyright ownership.

3. Promotional, Editorial, Social Media & Commercial Use Release

Client grants DanFalk Designs LLC the irrevocable, perpetual, worldwide right to:

• Use, publish, display, reproduce, edit, modify, and distribute images

• Share, post, publish, stream, or otherwise display images online through any website, digital platform, or social media outlet or channel now existing or later developed

• Use images for advertising, marketing, promotional materials, website content, social media content, print materials, digital campaigns, publications, and portfolio display

• Use images for both private and commercial purposes

• Monetize images in any lawful manner

Client acknowledges that DanFalk Designs LLC may sell, license, sublicense, distribute, or otherwise provide images to third parties, sponsors, event organizers, governing bodies, media outlets, commercial partners, and affiliates at its sole discretion.

Client waives any right to inspect or approve the final images or their usage.

4. Minor Release

If the participant photographed is under 18 years of age, the signing parent/legal guardian certifies that they have full legal authority to execute this agreement and grant all rights contained herein on behalf of the minor.

5. No Compensation for Promotional or Commercial Use

Client understands and agrees that no additional compensation shall be owed for the use of images for marketing, editorial, promotional, social media, or commercial purposes.

6. Indemnification & Release of Liability

Client agrees to release, defend, and hold harmless DanFalk Designs LLC, its owners, employees, contractors, and representatives from any and all claims, demands, damages, liabilities, costs, or legal actions arising from:

• The capture of images

• The lawful use, publication, online sharing, sale, licensing, or distribution of images

• Any third-party claims related to image usage

7. Agreement & Acknowledgment

By booking services, signing this agreement, or submitting payment, Client acknowledges that they have read, understand, and agree to all terms of this Photography Services Agreement, Copyright Notice, and Model Release.

This agreement shall be binding upon the Client and their heirs, legal representatives, and assigns.
